Use of Our Services

  • You must be at least 19 to use our Services, in line with Alberta’s age of majority, unless otherwise agreed in writing.
  • You agree not to misuse our Services, including attempting to reverse-engineer our AI tools, disrupt our systems, or use our Services to harm others.

Intellectual Property

  • All content, AI models, code, and materials on our website or provided through our Services are owned by us or our licensors and are protected by Canadian copyright laws.
  • You may not reproduce, distribute, or create derivative works from our content without our prior written consent, except for personal, non-commercial use as permitted by law.
  • If you provide us with data or content to use in our AI services, you grant us a non-exclusive, worldwide, royalty-free license to use it solely to deliver and improve our Services.

Accounts and Security

  • Some Services may require an account. You are responsible for keeping your account credentials confidential and for all activities under your account.
  • Notify us immediately at admin@clayton-shaw.com if you suspect unauthorized use of your account.

Fees and Payment

  • Fees for our Services, if applicable, will be outlined in separate agreements or on our website. All fees are in Canadian dollars unless stated otherwise.
  • Payments are due as specified, and late payments may incur interest at 1.5% per month, as permitted under Alberta law.
  • We reserve the right to suspend Services for non-payment after reasonable notice.

AI-Specific Terms

  • Our AI tools are provided “as is.” While we strive for accuracy, we do not guarantee the outputs of our AI systems will be error-free or suitable for your specific needs.
  • You are responsible for ensuring any data you input into our AI tools complies with applicable laws, including privacy regulations like PIPEDA.

Limitation of Liability

  • To the fullest extent permitted by Alberta and Canadian law, we are not liable for indirect, incidental, or consequential damages arising from your use of our Services.
  • Our total liability to you will not exceed the amount you paid us for the Services in the past 12 months, or $100 CAD, whichever is greater.

Termination

  • We may terminate or suspend your access to our Services at our discretion, with notice, if you breach these Terms or for business reasons.
  • You may stop using our Services at any time. Upon termination, your rights to use our Services end, but these Terms’ provisions (e.g., intellectual property, liability) that naturally survive will remain in effect.

Governing Law

  • These Terms are governed by the laws of Alberta, Canada, and applicable federal laws of Canada. Any disputes will be resolved in the courts of Alberta.

Changes to These Terms
