Terms of Service

Introduction

Welcome to Style Boulevard Limited, doing business as Clayton Shaw - Growth Partners ("Agency", "We", "Us"). By accessing our website or engaging our services, you ("Client", "You") agree to be bound by these Terms of Service. These Terms apply to all users of the site and all clients purchasing digital marketing, lead generation, or automation services.

Nature of Services & Agency Role

• •Marketing Service Provider: You acknowledge that the Agency is strictly a marketing and lead generation provider. We are not a medical provider, general contractor, public insurance adjuster, or financial institution.
• •Ad Spend Responsibility: All media costs (advertising spend payable to platforms such as Google, Meta, TikTok, etc.) are the sole responsibility of the Client. The Client agrees to pay these platforms directly. The Agency does not finance ad spend.

Intellectual Property Rights

• •Agency Background IP: The Agency retains all ownership rights to its proprietary methods, including but not limited to automation workflows (e.g., HighLevel snapshots), landing page templates, ad account structures, and keyword lists ("Background IP").
• •Client License: The Client is granted a non-exclusive, non-transferable, revocable license to use this Background IP solely for the duration of this Agreement. Upon termination of services, this license expires immediately.
• •Client Data: The Client retains full ownership of their specific brand assets and the raw contact data of leads generated during the campaign.

Fees and Payments

• •Non-Refundable: All service fees and retainers are non-refundable.
• •Payment Obligations: The Client's obligation to pay Agency fees is absolute and unconditional. The Client may not withhold or offset payment based on the status of their own revenue cycles, including insurance claim delays, denials, or "clawbacks".

Limitation of Liability

To the maximum extent permitted by the laws of the Hong Kong Special Administrative Region:

• •Liability Cap: The Agency's total liability for any claim arising under this Agreement shall not exceed the total fees paid by the Client to the Agency in the three (3) months preceding the claim.
• •Exclusions: In no event shall the Agency be liable for lost profits, loss of data, business interruption, or consequential damages.

Governing Law and Dispute Resolution

• •Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
• •Arbitration: Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The arbitration may be conducted virtually.
